CartonCore Terms and Conditions of Sale

1)Entire Agreement. These terms and conditions (the "Agreement"), along with any written quote, invoice, or order confirmation issued by CartonCore ("Seller"), constitute the entire agreement between Seller and the purchaser ("Buyer"). Any terms proposed by Buyer that conflict with or add to this Agreement are expressly rejected. Buyer agrees to these terms by accepting delivery, making payment, or failing to object in writing within a reasonable time.
2)Pricing. All prices are subject to change without notice and are based on current supplier quotes at the time of order. Unless otherwise specified, prices are quoted F.O.B. supplier facility. Final pricing will be confirmed at the time of order acknowledgment.
3)Credit & Payment Terms. Unless otherwise agreed in writing, all payments are due in full within thirty (30) days from the invoice date. CartonCore reserves the right to require full or partial prepayment and to modify or withdraw credit terms at any time.
4)Buyer's Financial Responsibility. If, in CartonCore’s sole judgment, Buyer’s financial condition raises concern, CartonCore may require immediate payment, suspend further performance, or cancel open orders without liability.
5)Taxes & Additional Charges. Quoted prices do not include applicable sales, use, excise, or similar taxes, or shipping, delivery, and insurance costs. These amounts, if incurred by CartonCore, will be added to Buyer’s invoice.
6)Late Payment. Payments not received by the due date may be subject to a late charge of 1.5% per month or the maximum rate permitted by law.
7)Shipping & Delivery. CartonCore arranges delivery through third-party suppliers and carriers. Buyer is responsible for shipping charges unless otherwise agreed in writing. Delivery dates are estimates only and not guaranteed. The carrier shall be deemed Buyer’s agent.
8)Risk of Loss. Risk of loss passes to Buyer upon delivery from the carrier. CartonCore is not liable for damage in transit. All claims must be made directly with the carrier.
9)Force Majeure. CartonCore is not liable for delays or failure to perform due to events beyond its control, including but not limited to natural disasters, labor disputes, government actions, or supplier shortages.
10)Inspection & Acceptance. Buyer must inspect all products upon receipt and notify CartonCore in writing of any defect, shortage, or nonconformity within ten (10) days of delivery.
11)Order Cancellation or Modification. Orders may not be canceled or modified without CartonCore’s written consent. Orders involving custom designs, prints, or large volumes may be non-cancellable once production begins. Buyer is responsible for any incurred costs resulting from cancellation or change.
12)Quantity Variance. For custom or large volume orders, Buyer agrees to accept a quantity variance of up to ±10% due to supplier manufacturing tolerances.
13)Returns. Returns will not be accepted without prior written authorization. Custom products are non-returnable. Authorized returns may be subject to a restocking fee of up to 25%.
14)Designs & Tooling. Buyer agrees that any tooling, dies, or design materials developed by CartonCore or its suppliers remain the property of the respective owner unless otherwise agreed in writing. Buyer-supplied materials not requested back within 90 days of last use may be discarded.
15)Indemnification. Buyer agrees to indemnify and hold CartonCore harmless against all third-party claims, damages, and expenses, including reasonable attorney’s fees, arising out of Buyer’s use, resale, or misrepresentation of products.
16)Product Claims & Limitation Period. Buyer must notify CartonCore in writing of any defect within ten (10) days of discovery and no later than 180 days after delivery. Any claim must be accompanied by documentation and, if required, return of goods F.O.B. supplier’s location. No claim shall be brought more than 180 days after such notice.
17)Disclaimer of Warranties. All products are sold “as is.” CartonCore makes no warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.
18)Limitation of Liability. CartonCore’s total liability shall not exceed the purchase price of the products. CartonCore shall not be liable for indirect, incidental, consequential, or special damages.
19)Governing Law. This Agreement shall be governed by the laws of the State of California.
20)Jurisdiction. Any dispute shall be resolved in the state or federal courts located in San Diego County, California. Buyer consents to jurisdiction and venue in such courts.
21)Export Compliance. Buyer agrees to comply with all applicable U.S. export control laws and regulations.
22)Modifications & Waivers. No changes or waivers of these terms are valid unless made in writing and signed by an authorized representative of CartonCore.
23)Severability. If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.

 

By placing an order with CartonCore, Buyer acknowledges and agrees to these Terms and Conditions of Sale.
